1. Agreement and Legal Entity
These Terms of Use (“Terms”) govern access to and use of the EigenH website and software services provided by EigenH AI, Inc., a Delaware corporation (“EigenH,” “we,” “us,” or “our”).

By accessing the website or using the services, the organization or person agreeing to these Terms accepts them.
If you use EigenH on behalf of an organization, you represent that you have authority to bind that organization.
2. Business and Authorized Use
EigenH is intended primarily for healthcare organizations, dental and medical practices, DSOs, MSOs, administrative teams, and their authorized users.
EigenH is not intended for independent patient self-service unless a healthcare organization has expressly configured and authorized the relevant workflow.
3. Customer Agreements and Order Forms
Paid or production services may be governed by an Order Form, Customer Agreement, Business Associate Agreement, Data Processing Agreement, or other written agreement.
If a written agreement conflicts with these Terms, the written agreement controls for the subject matter of the conflict.
4. License
Subject to these Terms and payment of applicable fees, EigenH grants the customer a limited, non-exclusive, non-transferable, non-sublicensable right to access and use the service for the customer’s internal authorized business operations.
No ownership rights are transferred to the customer.
5. Accounts and Access
Customers are responsible for:
- Maintaining accurate account information.
- Protecting usernames, passwords, authentication factors, and credentials.
- Providing each authorized user with an individual account.
- Assigning appropriate roles and permissions.
- Promptly removing access for users who no longer require it.
- Notifying EigenH of suspected unauthorized access or security incidents.
Customers must not share user accounts or allow unauthorized persons to access the service.
6. Customer Responsibilities
Customers are responsible for:
- The legality, accuracy, and quality of information submitted to EigenH.
- Obtaining rights and authorizations needed to process Customer Data.
- Configuring services, locations, providers, permissions, workflows, and integrations accurately.
- Obtaining required patient notices and consents.
- Reviewing AI-generated information and automated actions.
- Verifying appointment, patient, insurance, and integration updates.
- Maintaining appropriate internal policies and staff training.
- Complying with applicable healthcare, privacy, telephony, recording, messaging, and professional requirements.
7. HIPAA, PHI, and Business Associate Agreements
EigenH may act as a Business Associate when it creates, receives, maintains, or transmits PHI or ePHI on behalf of a HIPAA Covered Entity or another Business Associate.
Customers must not submit PHI or ePHI unless:
- EigenH has approved the applicable use case and production environment in writing.
- An appropriate Business Associate Agreement is in effect where required.
- The customer has completed the required security, access, integration, consent, and workflow configuration.
Where a Business Associate Agreement applies, it governs EigenH’s permitted use and disclosure of PHI and controls over conflicting provisions of these Terms concerning PHI.
EigenH’s services do not, by themselves, make a customer compliant with HIPAA or any other law. Each customer remains responsible for its own compliance obligations, risk assessment, patient notices, policies, access controls, workforce practices, and vendor-management obligations.
8. Administrative AI Only
EigenH AI voice, chat, workflow, and automation features are intended for administrative purposes such as:
- Appointment requests and scheduling support.
- Reminders and confirmations.
- Intake coordination.
- Front-desk follow-up.
- Task creation.
- Call or message summaries.
- Routing and handoff to authorized staff.
- Other customer-configured administrative workflows.
EigenH does not provide medical, dental, ophthalmology, nephrology, mental-health, diagnosis, treatment, medication, emergency, or other clinical advice.
AI-generated outputs may be incomplete, delayed, or inaccurate. Authorized staff must review relevant outputs before relying on them or making changes to patient or practice records.
9. Emergency Exclusion
EigenH must not be configured or represented as an emergency-response or clinical-triage system.
Customers must provide appropriate instructions for routing urgent or emergency communications to live staff, emergency services, or qualified clinical personnel.
Persons experiencing an emergency should contact the applicable local emergency service and should not rely on EigenH.
10. Calls, SMS, Messaging, and Consent
Customers are responsible for obtaining and maintaining all notices, permissions, and consents required for:
- Telephone calls.
- Automated or AI-assisted calls.
- SMS and other messages.
- Appointment reminders.
- Marketing or promotional communications.
- Call recording.
- Transcription.
- Automated follow-ups.
Customers are responsible for compliance with applicable TCPA requirements, state telemarketing laws, carrier requirements, 10DLC requirements, opt-out rules, and similar communication laws.
Where relevant, SMS workflows should provide legally required opt-out instructions, including STOP functionality.
For customer-configured voice workflows, the customer is the healthcare practice or other organization directing the call. As between the customer and EigenH, the customer, as the Covered Entity where applicable, is responsible for identifying the laws that apply to each call participant and obtaining any required consent before recording or otherwise processing a call. When EigenH acts as a Business Associate, EigenH processes call data on the customer’s behalf under the applicable Business Associate Agreement and customer instructions. This allocation does not remove any duty that applicable law places directly on EigenH.
11. Call Recording and Transcripts
If enabled by the customer, voice calls may be recorded, transcribed, summarized, or analyzed to support scheduling, quality review, customer support, workflow execution, and authorized practice operations.
U.S. recording and interception laws vary by state. Some states require one party’s consent, while two-party or all-party consent states may require every participant’s consent. Because participants may be in different states, the customer must determine which jurisdictions apply and use the level of notice and consent required for that call.
Recording announcements are configurable. The customer must enable and test the announcement or other consent workflow appropriate to its calling routes and participants. The availability of a configurable announcement does not establish that a recording complies with law.
Recordings and transcripts must be accessed only by authorized users and used only for approved purposes.
12. PMS, EHR, and Third-Party Integrations
EigenH may connect to customer-authorized practice-management, EHR, scheduling, communication, insurance, or other third-party systems.
Third-party availability, API limits, credentials, permissions, customer network conditions, vendor outages, or vendor changes may affect synchronization and workflow results.
Customers must verify important appointment changes, patient information, eligibility results, write-backs, deletions, and integration outcomes.
EigenH is not responsible for the independent operation or data practices of third-party products.
13. Customer Data
As between EigenH and the customer, the customer retains its rights in Customer Data.
The customer grants EigenH the limited rights necessary to host, process, transmit, display, and otherwise use Customer Data to provide, secure, maintain, and support the services and to meet applicable contractual and legal obligations.
The customer represents that it has all rights and authorizations required to provide Customer Data to EigenH.
14. Data Protection and Security
EigenH is developing and implementing safeguards appropriate to the nature of the applicable services and information, as further described in the applicable written agreement and approved deployment documentation.
Customers acknowledge that no online service is completely free from security risks and must use the service in accordance with EigenH’s configuration, security, and access requirements.
15. Acceptable Use
Users must not:
- Use EigenH for an illegal, fraudulent, harmful, or deceptive purpose.
- Access another customer’s or user’s information without authorization.
- Bypass security or access controls.
- Probe, scan, or test the service without written permission.
- Reverse engineer or attempt to obtain source code except where such restriction is prohibited by law.
- Scrape or automatically extract information outside approved interfaces.
- Upload information without sufficient rights or authorization.
- Send spam or unlawful marketing communications.
- Use EigenH to provide clinical diagnosis or treatment.
- Configure EigenH as an emergency-triage service.
- Introduce malware or harmful code.
- Interfere with the operation of the service.
- Use the service to develop a competing product through unauthorized copying of the platform, workflows, or content.
16. Confidentiality
Each party may receive confidential information from the other.
The receiving party must use confidential information only for the applicable business relationship and protect it using reasonable care.
Confidential information may be disclosed where required by law, provided legally permitted notice is given.
Additional confidentiality terms may be included in a Customer Agreement.
17. Third-Party Services
Certain service functionality depends on third-party providers, including cloud infrastructure, telecommunications, messaging, identity, analytics, AI, and practice-management providers.
Use of third-party services may be subject to separate terms.
EigenH does not control and is not responsible for third-party outages, changes, suspensions, or independent acts.
18. Service Availability
The services may occasionally be unavailable due to:
- Scheduled or emergency maintenance.
- Telecommunications or internet problems.
- Third-party vendor failures.
- Security events.
- Customer configuration problems.
- Integration failures.
- Events beyond EigenH’s reasonable control.
Unless a separate written agreement states otherwise, EigenH does not guarantee uninterrupted or error-free availability.
19. Fees and Payment
Applicable fees, billing frequency, usage limits, taxes, renewal terms, and payment obligations will be stated in an Order Form, subscription page, or Customer Agreement.
Except where otherwise expressly agreed or required by law, amounts paid are non-refundable.
EigenH may suspend paid services for overdue undisputed amounts after providing notice where required by the applicable agreement.
20. Intellectual Property
EigenH and its licensors retain all rights in:
- The EigenH platform.
- Software and source code.
- Models and system configurations.
- Documentation.
- User interfaces.
- Workflows.
- Trademarks and branding.
- All improvements and derivative works.
The customer retains its rights in Customer Data.
Any feedback provided to EigenH may be used to improve the services without restriction or payment, provided EigenH does not publicly identify the customer without permission.
21. Disclaimers
To the maximum extent permitted by law, the services are provided “as is” and “as available.”
EigenH disclaims implied warranties of merchantability, fitness for a particular purpose, non-infringement, and warranties arising from course of dealing or usage of trade.
EigenH does not warrant that:
- AI-generated information will always be complete or accurate.
- All third-party integrations will remain available.
- The service will identify every urgent or emergency communication.
- Use of EigenH will satisfy all legal or regulatory requirements.
- The service can replace professional, clinical, legal, privacy, or compliance advice.
22. Limitation of Liability
To the maximum extent permitted by law, neither party will be liable for indirect, incidental, special, exemplary, punitive, or consequential damages, including lost revenue, lost profits, loss of goodwill, or loss of data, arising from the service.
Unless a Customer Agreement states otherwise, EigenH’s aggregate liability arising from the services will not exceed the amounts paid or payable by the customer to EigenH during the twelve months immediately preceding the event giving rise to the claim.
Nothing in these Terms excludes liability that cannot legally be excluded or limited.
23. Indemnification
The customer will defend, indemnify, and hold harmless EigenH and its officers, directors, employees, and agents from third-party claims arising from:
- Customer Data submitted without required rights or authorization.
- Unlawful calls, recordings, messages, or marketing.
- Missing patient notices or consent.
- Misuse of the service.
- Violation of applicable law by the customer.
- Reliance on unreviewed AI output contrary to these Terms.
Any additional indemnification obligations will be stated in the applicable Customer Agreement.
24. Suspension and Termination
EigenH may suspend or terminate access where reasonably necessary because of:
- Material breach of these Terms.
- Non-payment.
- Unlawful or unauthorized use.
- A security threat.
- Risk to patients, customers, EigenH, or third parties.
- Required legal or regulatory action.
- Use of PHI without an approved environment and applicable BAA.
Upon termination, access will end in accordance with the applicable Customer Agreement.
Customer Data return, export, retention, and deletion will be handled according to the applicable agreement, BAA, and legal requirements.
25. Changes to These Terms
EigenH may update these Terms to reflect changes in the services, business, or legal requirements.
Updated Terms will be posted with a revised “Last updated” date.
Additional notice will be provided where required by law or contract.
26. Governing Law and Venue
These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-laws rules.
Unless an applicable Customer Agreement states otherwise, the state and federal courts located in Delaware will have exclusive jurisdiction over disputes arising from these Terms, and each party consents to venue in those courts.
